OpenPayd files $1.145B Nasdaq SPAC with Titan, listing as OP by year-end

Stablecoin-rails fintech OpenPayd will merge with Titan Acquisition Corp. at a $1.145B equity value, up to $276M gross proceeds, Nasdaq ticker OP, close targeted Q4 2026.

London-based payments-infrastructure firm OpenPayd Global Holdings has filed to list on Nasdaq via SPAC merger with Titan Acquisition Corp. at a $1.145 billion pro-forma equity value, per OpenPayd's F-4/A filing on SEC EDGAR and the CoinDesk business write-up. The combined entity will trade as "OP". The business-combination agreement was executed June 1, 2026; close is targeted for the fourth quarter.

What OpenPayd actually does

The company sells API-level access to accounts, FX, local and cross-border payments, and the on/off-ramps between fiat and stablecoins. Named integrations and clients disclosed:

  • Circle Payments Network — routing fiat ↔ USDC flows.
  • Fireblocks' payments network — wallet/custody rails.
  • Clients named: Kraken, B2C2, OKX.

In FY2026 (year ended April 30, 2026), OpenPayd reported $73M revenue (up from $57M a year earlier), $13M EBITDA, and a $2.8M net loss attributed to $5.8M in one-time transaction costs. The company closed its MSB USA acquisition in September 2026, bringing 43 state money-transmitter licences, and targets a U.S. launch in April 2027.

Why it's blockchain news

Three vectors matter for stablecoin plumbing:

  1. Public-market pricing of stablecoin rails. Pure-play orchestrators of stablecoin payment flows (Bridge, before Stripe acquired it; BVNK; Nuvei's stablecoin business) have been priced only in private rounds. A SPAC merger on Nasdaq puts a quoted multiple on an API gateway between fiat and USDC — a different asset class from an issuer like Circle or a custodian like Fireblocks.
  2. MSB licence stacking. 43 state money-transmitter licences is near the US perimeter needed for stablecoin on/off-ramps without piggy-backing a bank partner. Watch whether the OP ticker becomes a listed proxy for licensed stablecoin movement.
  3. Named counterparties under one filing. The S-4/F-4/A chain is the first regulated-disclosure venue to simultaneously name Kraken, B2C2, OKX, Circle Payments Network and Fireblocks as commercial relationships. The filing will carry revenue concentration data at ticker-OP go-live.

What to watch

  1. Redemption rate. Titan trust shareholders have redemption rights ahead of close; the $276M proceeds number is a ceiling. SPAC trusts in the 2026 cohort are redeeming at 40–70% rates on average.
  2. Audit and risk factors in the proxy/prospectus. The F-4/A will carry the stablecoin regulatory analysis under MiCA (EEA book), U.S. money-transmission framework, and any pending UK FCA requirements.
  3. Close date slippage. A Q4 2026 close requires SEC effectiveness, Titan shareholder vote and Nasdaq clearance; slippage past December would push the US-launch April 2027 target.
  4. Public-comp read-across. OP's open price is the first public tape for a stablecoin API gateway. Compare on revenue multiple against listed cross-border payment names (Wise, Payoneer, Nuvei).

Context

Circle's own Nasdaq debut (CRCL, June 2025) priced the issuer side of USDC. Visa and Mastercard have been building directly on top of USDC settlement rails. OpenPayd is the first API layer between the fiat banking stack and those stablecoin rails to come to the public market with a disclosed book, named enterprise counterparties, and a defined US licence footprint.
