Strategy stockholders approve daily dividends on STRC, STRF, STRK, STRD
Strategy stockholders approved amendments at an Oct 28 special meeting letting STRC, STRF, STRK and STRD accrue dividends daily. STRC switches Nov 1.
Strategy stockholders approved amendments to four preferred-stock series — STRC, STRF, STRK and STRD — at a special meeting held on Wednesday, October 28, 2026, letting dividends accrue every calendar day instead of monthly or quarterly. The company's Form 8-K filed the same day reports that "based on preliminary voting results, the requisite vote was obtained" for the amended and restated certificates of designations (SEC EDGAR: mstr-20261028.htm). Decrypt puts the preliminary tally at 99.3% in favor.
What changed
Each series currently accrues dividends on a monthly (STRC) or quarterly (STRF, STRK, STRD) basis. The amended certificates let dividends accrue on every calendar day — weekends and holidays included — with payments on the next business day when the record date falls on a non-business day. The 8-K is explicit that the change does not alter the stated dividend rates or total annual obligations; it only redistributes the accrual.
The amendments take effect on different dates per series, each subject to the amended certificate of designations being filed and effective:
- STRC: first daily record date November 1, 2026, first payment November 2, 2026
- STRF, STRK, STRD: first daily record date January 1, 2027, first payment January 4, 2027
The record date for voting was common stock outstanding as of September 25, 2026. The 8-K was signed by EVP and General Counsel Thomas C. Chow and filed under Item 8.01.
The four series, in numbers
- STRC — Variable Rate Series A Perpetual Stretch Preferred, previously monthly dividends; moved to semi-monthly after the June 8, 2026 annual meeting; now daily from November.
- STRF — 10% Strife Preferred.
- STRK — 8% Strike Preferred.
- STRD — 10% Stride Preferred.
Strategy was running four separate dividend calendars — none of which lined up — before the vote. The daily accrual mechanic collapses that into one schedule.
What to watch
- The amended certificates themselves. The 8-K defers the effective date to "the filing and effectiveness" of each amended certificate of designations with Delaware. If STRC's certificate is not filed and effective by 12:01 AM Eastern on November 1, the previously declared November 15 payment stands under the prior schedule instead.
- Any new 8-K naming the final certified vote tally. The current filing only confirms the requisite vote was obtained; it does not break out for/against/abstain counts.
- STRE. Strategy's fifth preferred series was not included in the Oct 28 vote. The next proxy will say whether the daily-accrual template extends to it.
Context
Strategy's preferred-stock stack is the capital structure around its Bitcoin treasury: each series was issued to fund BTC purchases while offering yield to the holder. Shifting all four to daily accrual aligns the cash-flow profile — a holder gets the same annual yield, but earns it every day rather than quarterly, which maps more cleanly onto how Strategy itself finances positions. The June 8 annual meeting already took STRC from monthly to semi-monthly; the October 28 vote completes the arc.
